Start with the right people

Good governance starts with the right people around the table. An effective board brings together a mix of skills: financial literacy, legal knowledge, sector experience, community connection, alongside diversity of perspective. Board members need to understand their duties as responsible persons under the ACNC Governance Standards and the Corporations Act: to act with care and diligence, in good faith, and in the best interests of the organisation and its charitable purpose.

How good boards operate

Beyond composition, good governance shows up in the structures and habits of how a board operates. This means well-designed meeting agendas, board papers that give members the information they need to make good decisions, and a culture where robust discussion is welcomed. It means having clear policies on conflicts of interest, related party transactions, whistleblowing, and financial delegations, and actually following them. It means committees (finance, audit, risk) that do real work rather than relying on your management team.

The board-CEO relationship is another critical piece. The best-governed organisations have a clear, shared understanding of where governance ends and management begins. The board holds the CEO accountable; the CEO manages the organisation. When those boundaries blur, in either direction, problems follow.

Governance also needs to be forward-looking. That means regular strategic reviews, genuine risk oversight, and a board willing to ask hard questions. It means periodically reviewing your constitution to ensure it still reflects how your organisation operates and what it’s trying to achieve.

Finally, good governance isn’t static. High-performing boards invest in their own development through skills audits, self-assessments, and director education. Because an organisation can only be as healthy as the governance sitting above it.
